Hereinafter referred to as "the Seller", "the Publisher" or "Rosace".
Article 2 — Purpose and scope
2.1. These General Terms and Conditions of Sale (hereinafter the "GTCS") govern the subscription to the Maestro Service and the provision of associated services, in both their free and paid versions.
2.2. The GTCS apply to any client, whether acting as a professional (within the scope of their commercial, industrial, artisanal, liberal, or agricultural activity) or as a consumer within the meaning of the introductory article of the French Consumer Code (a natural person acting for purposes that do not fall within the scope of their professional activity).
2.3. Subscribing to the Service implies full and unreserved acceptance of these GTCS. The client acknowledges having read them prior to placing any order.
2.4. The applicable GTCS are those in force on the date of subscription. The Publisher reserves the right to modify them; modifications are notified and enter into force under the conditions set out in Article 17.
Article 3 — Description of the Service
3.1. Maestro is a Trello Power-Up published by Rosace and distributed via the Atlassian Marketplace. It connects a Trello workspace to a Rosace project management workspace and ensures the synchronization of boards, lists, cards, and associated data.
3.2. The Service is provided in multi-tenant SaaS mode: each Trello workspace corresponds to a dedicated and isolated Maestro space (one database schema per tenant). A Trello workspace (identified by its organizationId) corresponds to one and only one Maestro space.
3.3. Access to the Service requires holding a valid Trello account and authorizing, via Trello, the access permissions necessary for the Power-Up to function.
3.4. The essential features of the Service are described on the website and within the Atlassian Marketplace. The Publisher may develop the Service (fixes, improvements, new features) without altering its substantial characteristics.
Article 4 — Offers and pricing
4.1. The Service is offered in three tiers, billed per seat (per user) and per month:
TierPriceLimit / conditionsFree€0Limited to 2 seats (users) per workspaceBASIC€4 excl. VAT / user / monthPer-seatPREMIUM€12 excl. VAT / user / monthPer-seat
4.2. Prices are indicated excluding VAT (HT), in euros (€). The applicable VAT is that of the user's (client's) billing country; it is calculated and added at the time of payment.
4.3. The total monthly amount of a paid subscription is equal to the number of seats subscribed multiplied by the unit price of the chosen tier.
4.4. Prices may be modified at any time. The applicable price is the one in force on the day of subscription; any tariff change affecting an ongoing subscription is notified to the client before it takes effect, and the client remains free to terminate the subscription under the conditions set out in Article 8.
4.5. The free tier does not incur any billing. Exceeding the 2-seat limit requires subscribing to a paid tier.
Article 5 — Free trial
5.1. Any first installation of the Power-Up entitles the user to a 14 (fourteen) day free trial, without credit card and with no commitment.
5.2. During the trial, the client benefits from the features of the paid tier without entering any payment method.
5.3. At the end of the trial, in the absence of a paid subscription, the space automatically switches to the free tier, within its limits (notably 2 seats). Data is retained subject to Article 11.
5.4. No new trial in case of reinstallation: a Trello workspace that has already benefited from the trial will not be allocated a new trial period; the subscription must then be made directly through a paid subscription.
Article 6 — Subscription process
6.1. Subscription to a paid tier is done online, via the payment provider Stripe, from the Service interface (accessible via the Trello Power-Up or via the tenant space at the address https://<sub-domain>.byrosace.com).
6.2. The client selects the tier and the number of seats desired, fills in their payment information with Stripe, and then validates the order. Validation constitutes acceptance of these GTCS and the price.
6.3. Only a user with billing management rights within the space can subscribe to, modify, or terminate a paid subscription.
6.4. Subscription is confirmed electronically. Billing is managed through Stripe.
Article 7 — Payment terms
7.1. Payment is made by credit card, through Stripe, a payment service provider. The Publisher does not store full credit card data, which is processed and secured by Stripe.
7.2. Billing is monthly, in arrears or in advance depending on the terms defined during subscription, based on the number of seats subscribed.
7.3. In the event of payment failure, the Publisher may suspend paid features; failing regularization, the space switches to the free tier, without immediate deletion of data (subject to Article 11).
7.4. Billing management. Invoices and proof of billing are made available to the client upon request via support@byrosace.com. A self-service client portal may be introduced at a later date.
Article 8 — Term, tacit renewal, and termination
8.1. Term. The paid subscription is concluded for a term of one (1) month, starting from the date of subscription.
8.2. Tacit renewal. Upon expiry, the subscription is tacitly renewed for successive periods of one month, unless terminated under the conditions below.
8.3. Consumer information (B2C). In accordance with the provisions of the French Consumer Code relating to the renewal of contracts (notably Art. L215-1 et seq.), the consumer is informed of the option not to renew the subscription and may terminate it at any time, free of charge, taking effect at the end of the current period.
8.4. Voluntary termination. The client may terminate their paid subscription at any time from the Service interface. The termination takes effect at the end of the monthly period already paid for; the Service remains accessible until that date, after which the space switches to the free tier, and data is retained subject to Article 11.
8.5. Uninstallation ≠ termination. Uninstalling or disabling the Power-Up in Trello does not constitute a termination of the subscription and does not stop billing. To end a paid subscription, the client must explicitly terminate it via the Service interface.
8.6. Reinstallation. Reinstalling the Power-Up reuses the same Trello workspace and the associated Maestro space; no new trial period is granted (Art. 5.4).
8.7. Termination by the Publisher. The Publisher may suspend or terminate access in the event of a serious breach by the client of their obligations (notably fraudulent use, non-payment, security breach), subject to reasonable notice, except in cases of urgency or gross misconduct.
Article 9 — Right of withdrawal (consumer clients — B2C)
9.1. Principle. In accordance with Articles L221-18 et seq. of the French Consumer Code, the consumer in principle has a period of fourteen (14) days to exercise their right of withdrawal from the conclusion of the digital service supply contract, without having to justify their decision.
9.2. Express waiver — immediate provision of digital service. As the Service is a digital service provided immediately upon subscription, the consumer who wishes to access it without waiting for the expiration of the withdrawal period expressly requests that the execution of the Service begin before the end of this period and acknowledges:
giving their prior express consent to the immediate execution of the Service; and
expressly waiving their right of withdrawal once the contract has been fully executed.
In accordance with Article L221-28, 13° of the French Consumer Code, the right of withdrawal cannot be exercised for a contract for the supply of digital content not supplied on a tangible medium or a digital service whose execution has begun after prior express consent of the consumer and express waiver of their right of withdrawal (see also Art. L221-25).
9.3. Consumers who have not given this express consent retain their right of withdrawal during the 14-day period and may exercise it by any unambiguous statement sent to support@byrosace.com.
9.4. The 14-day free trial without credit card (Art. 5) does not affect, where applicable, the exercise of the right of withdrawal starting from a paid subscription.
Article 10 — Consumer mediation (consumer clients — B2C)
10.1. In accordance with Articles L612-1 et seq. of the French Consumer Code, the consumer has the right to use a consumer mediator free of charge for the amicable resolution of a dispute opposing them to the Publisher, after having attempted to resolve it directly through a written complaint.
10.2. The competent consumer mediator is MEDICYS — 73 boulevard de Clichy, 75009 Paris — telephone 01.49.70.15.93 — www.medicys.fr, in accordance with Articles L611-1 et seq. of the French Consumer Code.
Article 11 — Data retention and deletion
11.1. Data associated with a space is retained for the duration of the use of the Service.
11.2. Inactive free tenant. A space on the free tier that has remained inactive for 60 (sixty) days (absence of any user connection) will be subject to automatic deletion of its data. Paid spaces are not deleted due to inactivity.
11.3. Log retention. Activity and audit logs are purged after 90 (ninety) days.
11.4. Uninstallation. Uninstalling the Power-Up does not, on its own, lead to the immediate deletion of space data, subject to the inactivity rules above.
11.5. Right to erasure. The client may request the deletion of their data under the conditions provided for by the privacy policy and applicable regulations.
11.6. Detailed terms for processing, retaining, and exercising rights relating to personal data are set out in the privacy policy (see Article 14).
Article 12 — Statutory warranties and liability
12.1. Statutory warranties (B2C). Regardless of these GTCS, the consumer benefits from the statutory warranties provided for by the French Consumer Code, notably the statutory warranty of conformity applicable to digital content and services (Art. L224-25-1 et seq.), as well as, where applicable, the provisions of the French Civil Code relating to the warranty against hidden defects (Art. 1641 et seq.).
12.2. Liability. The Publisher undertakes to provide the Service with diligence, under an obligation of best endeavors. It shall not be held liable for damage resulting from improper use of the Service, by the client or a third party, or due to force majeure (Article 16).
12.3. Limitation (B2B). With respect to professional clients, and to the extent permitted by law, the Publisher's liability for the performance of the contract is limited to direct and foreseeable damages and shall not exceed the total amount paid by the client during the twelve (12) months preceding the event giving rise to liability. These limitations do not apply to consumer clients, nor in cases where prohibited by law (gross negligence or willful misconduct, bodily injury).
12.4. The Service depends on third-party platforms and services (notably Trello/Atlassian). The Publisher is not responsible for interruptions, modifications, or terminations of these third-party services beyond its control.
Article 13 — Service availability and support
13.1. The Publisher endeavors to ensure the continuous availability of the Service, under an obligation of best endeavors (best-effort). No quantified service level agreement (SLA) is contractually guaranteed, unless separately agreed in writing.
13.2. The Service may be subject to maintenance, updates, or upgrade operations likely to cause temporary interruptions, which the Publisher endeavors to limit and, when possible, notify.
13.3. Support is provided on a best-effort basis, depending on the tier subscribed to. No quantified response time is contractually guaranteed. Support requests must be made through the designated channel: support@byrosace.com.
Article 14 — Personal data
14.1. The processing of personal data within the scope of the Service is governed by the privacy policy accessible at the address https://byrosace.com/privacy.html (and /legal/confidentialite), which forms an integral part of the contractual relationship.
14.2. Hosting and data residency. The Service is hosted on the Amazon Web Services (AWS) infrastructure, in the eu-west-3 region (Paris). The data residency is located within the European Union (EU).
14.3. Subprocessors. To provide the Service, the Publisher relies notably on the following subprocessors: Atlassian / Trello (platform and source of board data/identity), Stripe (payment processing), Amazon Web Services (hosting, computing, storage, logs), Meilisearch (search indexing), Amazon SES (sending transactional and support emails). Details of these subprocessors and their roles can be found in the privacy policy.
14.4. The client processes, where applicable, in their space, personal data under their own responsibility (for example, the content of their synchronized Trello boards). It is their responsibility to ensure compliance with the regulations applicable to such processing.
Article 15 — Intellectual property
15.1. The Service, its software components, its interface, its trademarks, logos, and contents are protected by intellectual property law and remain the exclusive property of the Publisher or its licensors.
15.2. Subscription grants the client a personal, non-exclusive, and non-transferable right of use of the Service, for the duration of the subscription and under these GTCS. No transfer of ownership is granted.
15.3. The client retains all rights to their own data and content (notably their Trello boards and cards). They grant the Publisher the rights strictly necessary for the provision of the Service (synchronization, hosting, processing).
15.4. Any unauthorized reproduction, extraction, modification, or reuse of the Service is prohibited.
Article 16 — Force majeure
16.1. The Publisher cannot be held liable for any non-performance or delay resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code and applicable case law (notably disasters, major network or third-party provider failures, acts of authorities).
16.2. The affected party shall inform the other as soon as possible. If the case of force majeure continues beyond a reasonable period, either party may terminate the contract without compensation.
Article 17 — Modification of the GTCS
17.1. The Publisher may modify these GTCS. Modifications are brought to the client's attention by any appropriate means (notably online publication and/or notification).
17.2. For ongoing subscriptions, substantial modifications are notified before they take effect; clients who do not accept them may terminate under the conditions of Article 8.
Article 18 — Applicable law and disputes
18.1. Applicable law. These GTCS are subject to French law, without prejudice to the mandatory protective provisions of the consumer's country of residence within the European Union.
18.2. Consumers (B2C). The consumer may, at their option, bring the matter before one of the court jurisdictions competent under the French Code of Civil Procedure, or the court of the place where they resided at the time of the conclusion of the contract or the occurrence of the damaging event; failing that, the Judicial Court of Orléans is competent. Prior recourse to mediation (Article 10) remains available.
18.3. Professionals (B2B). Failing amicable resolution, any dispute will be brought before the Commercial Court of Orléans, even in the event of multiple defendants or third-party appeals, unless there is a mandatory statutory provision to the contrary.
